Terms of Service

These terms govern services provided by Softwave Studios ("Softwave", "we"), a digital studio based in San José, Costa Rica. By signing a quote or paying a deposit, the client ("you") accepts these terms.
1. Services
Softwave offers digital design, development, automation, and brand services. Specific scope is defined per project in a signed quote. Anything not in the quote is out of scope until a written change order is added.
2. Quotes and pricing
Prices on softwavestudios.tech are base scope approximations in USD and exclude 13% IVA (Costa Rica VAT). Final pricing is set in the project quote, valid for 14 days. Scope expansions trigger a written change order with adjusted price and timeline.
3. Payment
Default terms: 50% deposit on quote approval, 50% on delivery. Methods: SINPE Móvil, bank transfer (CRC or USD), or card via Tilopay. Installment plans (3 months) require Tilopay processing; fees included in installment surcharge. Late payments past 15 days accrue 2% monthly interest.
4. Intellectual property
Upon final payment, the client owns: brand assets, design files, custom written copy, and final deliverable code specifically authored for the project. Softwave retains rights to: tools, libraries, internal frameworks, and reusable components. Client grants Softwave permission to showcase the work in portfolio and case studies unless mutually agreed otherwise in writing.
5. Delivery and timelines
Timelines start once: (a) scope is signed, (b) deposit is received, (c) required assets are delivered by client. Delays from client side (asset delivery, feedback, approvals) extend the timeline equivalently. Standard ranges: Landing 7-10 days, Multi-page 14-21 days, Custom 21-30 days.
6. Revisions
Each project includes up to 2 revision rounds within the original scope. Additional rounds or scope changes are billed at $40/hour or scoped as a new mini-project.
7. Cancellation and refunds
Client may cancel before delivery with written notice. Deposit is non-refundable once work has started (typically within 48h of approval). Work completed up to cancellation date is owed in full. Softwave may terminate if client breaches payment or scope abuse terms; in that case work delivered to date is owed in full.
8. Confidentiality
Both parties keep confidential information shared during the project private. A mutual NDA can be signed before scope call at no extra cost.
9. Limitation of liability
Softwave's total liability for any claim is limited to the fees paid by the client for the specific project. Softwave is not liable for indirect or consequential damages including lost profits, data loss, or downtime caused by third-party services (hosting providers, payment processors, APIs).
10. Third-party services
Projects may rely on third-party services (hosting, payment processors, APIs). Softwave configures these per scope; ongoing fees, renewals, and uptime are the client's responsibility post-delivery unless a maintenance agreement is signed.
11. Governing law
These terms are governed by the laws of the Republic of Costa Rica. Disputes go to the civil courts of San José, Costa Rica.
12. Changes
Softwave may update these terms; changes apply to new quotes signed after the update date. Existing projects keep the terms in force at signing.
